Terms and Conditions for Wholesale Purchases of Stick Grip Products
1. Introduction
These Terms and Conditions govern the sale of Stick Grip products (“Products”) sold on a wholesale basis. By placing an order, the buyer (“Buyer”) agrees to be bound by these terms.
2. Product Pricing and Minimum Advertised Price (MAP)
2.1. The Buyer agrees to purchase the Products at the wholesale prices set forth by Stick Grip. Prices are subject to change without prior notice.
2.2. The Buyer agrees not to advertise or sell the Products online for less than the prices listed on stickgrip.com (the “Minimum Advertised Price” or “MAP”). This restriction aims to maintain the brand’s value and the competitive landscape for all authorized resellers.
3. Taxes and Resell Certification
3.1. Buyer is solely responsible for all taxes, levies, duties, or similar governmental assessments, including, but not limited to, value-added tax (VAT), sales, use, or withholding taxes, assessable by any local, state, provincial, federal, or foreign jurisdiction (collectively, “Taxes”).
3.2. The Buyer must provide Stick Grip with a valid resale certificate and is responsible for ensuring that the certificate remains current and valid for the duration of the business relationship.
4. Order Placement and Payment Terms
4.1. Orders must be placed in accordance with Stick Grip’s ordering policy, which may be updated from time to time.
4.2. Payment terms are agreed upon at the time of order placement. Stick Grip reserves the right to require payment in full before processing any order.
5. Shipping and Handling
5.1. Shipping terms shall be Delivered Duty Paid (DDP) to the Buyer’s specified address unless otherwise agreed upon in writing.
5.2. The Buyer is responsible for all shipping and handling costs associated with the delivery of Products unless Stick Grip is offering a shipping promotion.
